Terms of Service

1. Service Provider

PAI Wallet is owned and operated by:
PERCEPTION AI FZCO

2. The Service

PAI Wallet is a software application that enables users to:

• create or import blockchain wallets;
• securely store and manage private keys on supported devices;
• send, receive and manage supported digital assets;
• interact with supported blockchain networks;
• connect to decentralised applications ("dApps");
• access blockchain services supported by the Wallet; and
• use additional wallet features that may be introduced from time to time.

PAI Wallet is a non-custodial wallet.

PERCEPTION AI does not hold, possess, own or control your digital assets, cryptocurrencies, tokens, NFTs, recovery phrases or private keys.

All blockchain transactions are initiated solely by you and are transmitted directly to the applicable blockchain network.

3. Non-Custodial Nature of the Wallet

PAI Wallet is software only. You remain the sole owner and controller of:

• your wallet;
• your recovery phrase;
• your private keys;
• your passwords;
• your digital assets; and
• every blockchain transaction initiated through your wallet.

PERCEPTION AI:

• cannot access your private keys;
• cannot recover your recovery phrase;
• cannot reset your wallet;
• cannot restore lost wallets;
• cannot reverse blockchain transactions;
• cannot freeze wallets;
• cannot recover lost digital assets;
• cannot retrieve assets sent to incorrect addresses; and
• cannot access funds stored in your wallet.

You acknowledge that control of your wallet remains entirely with you.

4. Eligibility

You must be legally capable of entering into a binding agreement under the laws applicable in your jurisdiction. You are solely responsible for ensuring that your use of PAI Wallet complies with all laws applicable to you. If you are below the minimum legal age required to use the Service independently, you may only use PAI Wallet with the permission and supervision of a parent or legal guardian where permitted by law.

5. User Accounts

Certain features may require you to create an account. You agree to:

• provide accurate information;
• keep your credentials secure;
• maintain the confidentiality of your account;
• promptly notify us of any unauthorised access; and
• accept responsibility for all activity conducted through your account.

You are responsible for maintaining the security of your devices.

6. Recovery Phrase and Private Keys

Your recovery phrase and private keys provide complete control over your wallet. You acknowledge and agree that:

• you are solely responsible for securely storing your recovery phrase;
• you are solely responsible for backing up your wallet;
• loss of your recovery phrase may permanently prevent access to your assets;
• disclosure of your recovery phrase may allow third parties to access your wallet;
• PERCEPTION AI cannot recover or replace recovery phrases; and
• PERCEPTION AI has no technical ability to access your wallet.

You should never share your recovery phrase with any person.

7. Blockchain Transactions

Blockchain transactions initiated through PAI Wallet are executed directly on decentralised blockchain networks. You acknowledge that blockchain transactions are generally:

• irreversible;
• permanent;
• publicly recorded;
• not controlled by PERCEPTION AI; and
• subject to the rules of the applicable blockchain network.

You are solely responsible for verifying:

• wallet addresses;
• network selection;
• token selection;
• transaction amounts;
• gas fees;
• blockchain fees; and
• all transaction details before confirmation.

Transactions sent to incorrect addresses or unsupported networks may result in permanent loss of assets. PERCEPTION AI has no ability to reverse, modify or cancel blockchain transactions.

8. Digital Assets

PAI Wallet supports certain digital assets for convenience. PERCEPTION AI does not:

• issue cryptocurrencies;
• guarantee the value of digital assets;
• verify the legitimacy of any token;
• endorse any blockchain project;
• guarantee liquidity;
• guarantee interoperability between blockchains;
• guarantee future support for any asset; or
• guarantee compatibility with every blockchain protocol.

You are solely responsible for evaluating the suitability and legitimacy of any digital asset. Digital assets are highly volatile and may lose all value.

9. Decentralised Applications (dApps)

PAI Wallet may allow connections with third-party decentralised applications. These applications are operated independently of PERCEPTION AI. PERCEPTION AI does not own, operate, audit or control:

• smart contracts;
• decentralised exchanges;
• NFT marketplaces;
• DeFi protocols;
• staking protocols;
• blockchain bridges;
• DAO platforms;
• token issuers; or
• any other third-party blockchain services.

Your interactions with third-party applications are entirely at your own risk.

10. Smart Contracts

Smart contracts are autonomous computer programs deployed on blockchain networks. PERCEPTION AI does not review, audit, guarantee or endorse smart contracts accessed through PAI Wallet. Smart contracts may contain vulnerabilities, coding errors or malicious functionality. You accept full responsibility for any interaction with smart contracts.

11. WalletConnect and Third-Party Connections

Where supported, PAI Wallet may integrate with WalletConnect or similar technologies. PERCEPTION AI is not responsible for:

• third-party wallet integrations;
• external websites;
• connected applications;
• browser extensions;
• third-party APIs; or
• external blockchain infrastructure.

You are responsible for reviewing the terms and security practices of any connected service.

12. Acceptable Use

You agree not to use PAI Wallet to:

• violate applicable laws;
• engage in fraud;
• launder money;
• finance terrorism;
• evade sanctions;
• infringe intellectual property rights;
• distribute malware;
• compromise network security;
• interfere with blockchain operations;
• exploit software vulnerabilities;
• access systems without authorisation;
• impersonate another person; or
• engage in any unlawful or abusive conduct.

We may suspend or terminate access where reasonably necessary to protect the Service or comply with legal obligations.

13. Regulatory Compliance

You are solely responsible for ensuring that your use of PAI Wallet complies with all laws applicable in your jurisdiction. Certain blockchain services or digital assets may not be available in particular countries. PERCEPTION AI does not represent that PAI Wallet is lawful or available in every jurisdiction.

Use of the Service from prohibited jurisdictions is entirely at your own risk.

14. Fees

Certain features of PAI Wallet may involve blockchain network fees ("gas fees"), validator fees or other third-party charges. These fees are determined by the relevant blockchain network or third-party service provider and are not charged or controlled by PERCEPTION AI. You acknowledge and agree that:

• blockchain network fees may fluctuate significantly;
• gas fees may exceed the value of certain transactions;
• failed transactions may still incur blockchain fees;
• PERCEPTION AI does not receive or control blockchain gas fees unless expressly disclosed; and
• you remain solely responsible for all fees associated with your transactions.

15. Taxes

You are solely responsible for determining whether any taxes apply to your use of PAI Wallet. This includes, without limitation:

• income tax;
• capital gains tax;
• corporation tax;
• VAT or GST where applicable;
• withholding taxes; and
• any reporting obligations relating to digital assets.

PERCEPTION AI does not provide tax advice and accepts no responsibility for your tax obligations.

16. User Content

Where you submit information through PAI Wallet, including support requests, profile information or feedback, you retain ownership of your content. By submitting content, you grant PERCEPTION AI a non-exclusive, worldwide, royalty-free licence to process and use that content solely for the purposes of:

• providing the Service;
• maintaining security;
• improving functionality;
• resolving support requests;
• complying with legal obligations; and
• preventing fraud and abuse.

You represent that you have all necessary rights to submit such content.

17. Intellectual Property

PAI Wallet, including its software, source code, user interface, graphics, branding, logos, documentation, APIs and underlying technology, is owned by or licensed to PERCEPTION AI and is protected by applicable intellectual property laws. Except where expressly permitted by law, you may not:

• copy;
• reproduce;
• modify;
• reverse engineer;
• decompile;
• distribute;
• lease;
• sublicense;
• sell;
• commercially exploit; or
• create derivative works from

any part of PAI Wallet without our prior written consent. Nothing in these Terms transfers ownership of our intellectual property to you.

18. Privacy

Your use of PAI Wallet is also governed by our Privacy Policy and International Privacy Addendum. Those documents explain how personal information is collected, processed, stored and protected.

19. Third-Party Services

PAI Wallet may interact with services operated by independent third parties, including:

• blockchain networks;
• node providers;
• RPC providers;
• digital asset protocols;
• staking providers;
• bridges;
• decentralised exchanges;
• NFT marketplaces;
• dApps;
• cloud infrastructure providers; and
• payment providers where supported.

PERCEPTION AI does not own or control these services and is not responsible for their availability, security, accuracy or operation.

Your use of third-party services is governed solely by their own terms and privacy policies.

20. Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be unavailable due to:

• software maintenance;
• security updates;
• blockchain congestion;
• node failures;
• network outages;
• internet disruptions;
• denial-of-service attacks;
• failures of third-party providers;
• force majeure events; or
• circumstances beyond our reasonable control.

We may modify, suspend or discontinue features of the Service at any time.

21. Updates

We may release updates to improve security, compatibility and functionality. Certain updates may be mandatory to continue using the Service safely. Failure to install required updates may result in reduced functionality or inability to access certain features.

22. Suspension and Termination

You may stop using PAI Wallet at any time. We may suspend or terminate your access where reasonably necessary if:

• these Terms are breached;
• the Service is misused;
• fraudulent or unlawful activity is suspected;
• required by law;
• necessary to protect the integrity or security of the Service; or
• continued access creates unacceptable legal or operational risk.

Termination of access does not affect blockchain assets stored within wallets that remain under your exclusive control.

23. Disclaimer

PAI Wallet is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, PERCEPTION AI disclaims all warranties, whether express, implied or statutory, including warranties relating to:

• merchantability;
• fitness for a particular purpose;
• accuracy;
• uninterrupted availability;
• compatibility;
• security;
• non-infringement;
• availability of blockchain networks;
• validator performance;
• smart contracts;
• token issuers;
• digital asset values;
• staking rewards;
• bridge functionality;
• decentralised applications; and
• third-party services.

We do not guarantee that:

• blockchain networks will continue to operate;
• transactions will always be confirmed;
• digital assets will retain value;
• third-party protocols will remain secure;
• software will be free from bugs; or
• every supported blockchain will remain supported indefinitely.

You acknowledge that the use of blockchain technology involves significant technological, financial and regulatory risks.

24. Limitation of Liability

To the fullest extent permitted by applicable law, PERCEPTION AI, its directors, officers, employees, affiliates, licensors and contractors shall not be liable for any direct, indirect, incidental, consequential, exemplary, special or punitive damages arising from or relating to your use of PAI Wallet. This includes, without limitation:

• loss of cryptocurrencies;
• loss of tokens;
• loss of NFTs;
• loss of digital assets;
• loss of staking rewards;
• market losses;
• trading losses;
• investment losses;
• smart contract failures;
• bridge failures;
• protocol exploits;
• blockchain forks;
• validator failures;
• phishing attacks;
• malware;
• compromised devices;
• compromised recovery phrases;
• compromised private keys;
• incorrect wallet addresses;
• user error;
• unsupported assets;
• delayed or failed blockchain transactions;
• blockchain congestion;
• software incompatibility;
• regulatory changes;
• taxation consequences;
• business interruption;
• loss of profits;
• reputational damage;
• loss of goodwill;
• loss of opportunity; or
• loss of data.

PERCEPTION AI is not responsible for any transaction, trade, swap, staking activity, investment decision or interaction with a blockchain protocol initiated by you through PAI Wallet.

Where liability cannot legally be excluded, our total aggregate liability shall be limited to the maximum extent permitted under applicable law.

25. Indemnity

You agree to fully indemnify, defend and hold harmless PERCEPTION AI FZCO, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, licensors, successors and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, losses, damages, judgments, fines, penalties, costs and expenses (including reasonable legal fees and professional costs) arising directly or indirectly from or relating to:

• your use of PAI Wallet;
• any wallet created, imported or controlled by you;
• any blockchain transaction initiated by you;
• any transfer, receipt or storage of digital assets;
• any purchase, sale, swap, exchange or trade of digital assets;
• any staking, delegation or validator participation;
• any interaction with smart contracts;
• any interaction with decentralised applications (dApps);
• any interaction with blockchain bridges or cross-chain protocols;
• any NFTs or digital collectibles;
• your loss or disclosure of recovery phrases or private keys;
• unauthorised access to your devices or wallet;
• your breach of these Terms;
• your breach of applicable laws or regulations;
• your infringement of the rights of any third party; or
• any tax liabilities arising from your digital asset activities.

For the avoidance of doubt, PERCEPTION AI accepts no responsibility whatsoever for any blockchain transaction, trade, investment decision, staking activity, token swap, digital asset transfer or other activity initiated by you through PAI Wallet.

26. Regulatory Risks

Digital asset regulation continues to evolve worldwide. You acknowledge that:

• laws affecting cryptocurrencies may change at any time;
• governments may restrict or prohibit certain digital assets;
• blockchain protocols may become subject to regulation;
• tax obligations may change;
• exchanges or liquidity providers may cease operations;
• blockchain networks may become unavailable; and
• access to certain features may be restricted without prior notice where required by law.

PERCEPTION AI shall not be liable for losses resulting from regulatory changes.

27. Blockchain Risks

You acknowledge that blockchain technology involves significant inherent risks, including:

• blockchain congestion;
• delayed confirmations;
• software bugs;
• protocol vulnerabilities;
• validator failures;
• mining failures;
• consensus failures;
• hard forks;
• soft forks;
• network upgrades;
• governance disputes;
• blockchain attacks;
• denial-of-service attacks;
• replay attacks;
• cryptographic failures;
• bridge failures;
• oracle failures;
• smart contract exploits;
• token vulnerabilities;
• permanent loss of assets; and
• technological developments that may adversely affect blockchain security.

You voluntarily assume all such risks when using PAI Wallet.

28. Security

While PERCEPTION AI implements reasonable security measures to protect the integrity of the Wallet software, you remain solely responsible for securing:

• your devices;
• your passwords;
• your PINs;
• biometric authentication where available;
• your recovery phrase;
• your private keys; and
• any backups of your wallet.

You should maintain appropriate security practices including regular software updates and protection against malware.

29. Export Controls and Sanctions

You agree not to use PAI Wallet in violation of any applicable export control laws, sanctions laws or international trade restrictions. You represent and warrant that you are not:

• located in a jurisdiction subject to comprehensive sanctions where use of the Service is prohibited;
• acting on behalf of a sanctioned person or organisation; or
• prohibited by applicable law from using the Service.

We may restrict access where reasonably required to comply with applicable law.

30. Force Majeure

PERCEPTION AI shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including:

• natural disasters;
• acts of war;
• terrorism;
• civil unrest;
• governmental actions;
• changes in law;
• internet outages;
• power failures;
• cyberattacks;
• blockchain failures;
• failures of node providers;
• failures of cloud providers;
• labour disputes; or
• failures of third-party infrastructure.

31. Changes to the Service

We may modify, improve, suspend or discontinue any part of PAI Wallet at any time where reasonably necessary for security, legal, operational or commercial reasons. Nothing in these Terms guarantees the continued availability of any particular blockchain, token, protocol or feature.

32. Changes to these Terms

We may amend these Terms from time to time. Updated versions will be published with a revised Effective Date. Your continued use of PAI Wallet after updated Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.

33. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates. Subject to any mandatory consumer protection laws applicable in your jurisdiction, the courts of the Emirate of Dubai shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of PAI Wallet.

34. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

35. Entire Agreement

These Terms, together with the Privacy Policy and International Privacy Addendum, constitute the entire agreement between you and PERCEPTION AI regarding your use of PAI Wallet and supersede all prior understandings relating to the Service.

37. Final Provisions

By using PAI Wallet, you acknowledge and agree that:

• you have read and understood these Terms;
• you accept full responsibility for securing your recovery phrase, private keys and wallet credentials;
• you understand that blockchain transactions are generally irreversible;
• you understand that digital assets are highly volatile and may lose all or substantially all of their value;
• you understand that PERCEPTION AI is not a bank, custodian, broker, exchange, financial institution, investment adviser or fiduciary;
• you understand that PERCEPTION AI does not hold or control your digital assets;
• you remain solely responsible for every transaction, trade, swap, staking activity, investment decision and interaction with blockchain networks conducted through PAI Wallet; and
• you accept all risks associated with your use of blockchain technology, digital assets and decentralised applications.
